CONSTITUTION AND BY-LAWS OF THE PEACHAM POND ASSOCIATION

ARTICLE 1 - NAME

This association shall be known as the Peacham Pond Association.

ARTICLE 2 - OBJECT

To assist in improving, promoting, maintaining and protecting wild life in the area and assisting each other in the betterment of the Camp Community.

ARTICLE 3 - OFFICERS AND DIRECTORS

Section 1:  The officers of this Association shall consist of a President, Vice-President and Secretary-Treasurer.  No officers shall be elected unless present at election.  [Amended in 1974 – Secretary and Treasurer may be separate offices].

Section 2:  The officers of this Association shall be elected each year at the annual meeting to be held in the Fall, not less than sixty (60) days prior to December 31.  A majority of all votes of members present at the annual meeting shall be necessary for a choice.

Section 3:  The term of said officers will be for one year, or until their successors are chosen.  They shall without delay transfer to their successors all property, records and assets belonging to the Association.

Section 4:  There shall be a Board of Directors consisting of five (5) members.  Two directors shall be elected each year for two (2) year terms.  The immediate past president shall automatically become the fifth director serving until succeeded by the outgoing president.

ARTICLE 4 - DUTIES OF OFFICERS AND DIRECTORS

Section 1:  It shall be the duty of the President to preside at all meetings of the Association and preserve order.  The President shall appoint all committees unless otherwise ordered by the Association and shall perform all the duties prescribed in the By-Laws and Resolutions of the Association.

Section 2:  In the absence of the President the Vice President shall exercise all the duties prescribed in the By-Laws and will conduct all meetings in the President’s absence.

Section 3:  The Secretary shall keep all records of the proceedings of the Association and maintain a list of the active and honorary members (if any) together with their addresses.  The Secretary shall keep a permanent record for the above purposes.  The Secretary shall collect all dues and fees; receive and obtain approval from the Executive Board (the duly elected officers named in Article 3) of all bills and forward to the Treasurer for payment.  It shall be the duty of the Secretary to notify all members of all meetings.

Section 4:  The duties of the Treasurer shall be to receive all monies paid to the Association in the form of dues, fees, etc. and to deposit same in a savings bank or checking account.  The Treasurer shall pay all bills received from the Secretary and duly approved.  The Treasurer shall keep a full and accurate account of all receipts and disbursements in a permanent book for this purpose.  At each annual meeting the Treasurer shall give a detailed account of all receipts and disbursements.

Section 5:  The duties of the Directors shall be to meet with the elected officers to advise and assist the officers in conducting Association business between annual meetings.

ARTILCE 5 - DUES

The membership dues for the Association shall be $10.00 per member per calendar year and are due on or before January 1.  Any member falling in arrears for a period of one year forfeits membership in the Association.  A two-thirds majority of the members present at the annual meeting will be required to change the membership fee.

ARTICLE 6 - MEMBERSHIP

Property owners shall be classed as active members and non-property owners shall be classed as inactive members.  An active member may vote on all matters pertaining to the Association.  An inactive member will be restricted from voting on By-Laws changes and holding office.
